Creating opportunities for wider participation
Pliosaur Energy believes that the transition to renewable energy should create opportunities for wider participation.
We believe that people who support our mission during the company's earliest stages should, where legally and commercially appropriate, have an opportunity to participate in its long-term success.
Our ambition is to develop a balanced ownership model combining meaningful community participation with future institutional and strategic investment.
This approach is intended to provide an opportunity for members of the public to become part of Pliosaur's journey while preserving the governance, expertise and access to capital required to develop and commercialise the technology.
Early participation
Preserving the opportunity
Pliosaur Energy remains at an early stage of technology and company development.
The full-scale integrated turbine has not yet been constructed, installed or validated in an operational marine environment, and substantial development work remains before commercial deployment can be considered.
We recognise that the opportunity for genuine early community ownership may be difficult to recreate once a company has become commercially established and widely recognised.
We therefore intend to explore whether an appropriate proportion of the company could be made available to community shareholders before or alongside later stages of institutional fundraising.
Funding strategy
Community and institutional investment
Community ownership and institutional investment are not competing approaches.
Pliosaur Energy expects that substantial institutional, strategic and project-based capital may be required as the company progresses towards full-scale prototype development, testing and commercial deployment.
Institutional investors may also provide technical expertise, commercial experience, governance support and access to infrastructure and supply chains.
Our objective is to explore an ownership structure in which future institutional participation does not prevent early supporters from having a meaningful opportunity to become shareholders.
The proportion, timing and terms of any community participation have not yet been determined.
Community interest
Register an expression of interest
Pliosaur Energy is not currently offering shares or accepting investments.
Registered account holders may express an interest in possible future community ownership by selecting the Community option within their account preferences.
Expressions of interest help us understand the possible level and geographic distribution of community participation.
Registering an interest does not:
- create a right or entitlement to purchase shares;
- reserve or guarantee a future allocation;
- establish priority over other potential participants;
- require the account holder to make an investment; or
- commit Pliosaur Energy to conduct a fundraising exercise.
Future process
An appropriately structured offering
Should Pliosaur Energy decide to develop a community share offering, it would be conducted separately through an appropriate legal and regulatory structure.
Any opportunity would be subject to formal documentation, eligibility requirements, investment limits, risk disclosures, separate contractual terms and all applicable laws and regulations.
The company would provide information about the proposed ownership rights, valuation, use of funds, risks and applicable investor protections before accepting any investment.
